BILLING CYCLES

The membership fee for our service will be billed annually on the anniversary of your membership until you cancel your membership. We automatically bill the Payment Method you initially used unless you change it. Membership fees are fully earned upon payment. We reserve the right to change the timing of our billing, particularly as indicated below if your Payment Method has not been successfully settled. In the event your membership begins on a day not contained in a given month (such as February 29 every four years), we will bill your Payment Method on February 28 the following year. Your renewal date may change due to changes in your membership. Visit our website and click on the "View billing details" link on the "Your Account" page to see the commencement date for your next renewal period. We may authorize your Payment Method in anticipation of membership or service-related charges. As used in these Terms of Use, "billing" shall indicate a charge, debit or other payment clearance, as applicable, against your Payment Method. Unless otherwise stated differently, month or monthly refers to your billing cycle.

CANCELLATION & REFUND POLICY

You may cancel your Jubilee LLC membership at any time, and you will continue to have access to the Jubilee LLC service through the end of your annual billing period. WE DO NOT PROVIDE REFUNDS OR CREDITS FOR ANY PARTIAL-ANNUAL MEMBERSHIP PERIODS OR LACK OF USE. To cancel, go to the "Your Account" page on our website and follow the instructions for cancellation.

UNLESS YOU NOTIFY US BEFORE A CHARGE THAT YOU WANT TO CANCEL OR DO NOT WANT TO AUTO-RENEW, YOUR LEEP CALENDAR MEMBERSHIP WILL AUTOMATICALLY CONTINUE. YOU, BY NOT PRE-CANCELLING, AUTHORIZE JUBILEE LLC (WITHOUT NOTICE TO YOU, UNLESS REQUIRED BY APPLICABLE LAW) TO COLLECT THE APPLICABLE MEMBERSHIP FEE AND ANY TAXES, USING ANY ELIGIBLE PAYMENT METHOD ON RECORD FOR YOU.

SUBSCRIPTIONS & MEMBERSHIPS

Your LEEP membership can be canceled at any time by logging into Your Account and changing your membership settings. Should you choose to cancel within three (3) days of signing up for a paid membership and have not logged into your account (other than to cancel), have not imported dates into your personal calendar, uploaded more than one event per year, or utilized any of the other services set aside for paid members, we will refund your membership fee in full. Cancelation at any other time will prevent your membership from auto-renewing but will not result in a refund. LEEP Calendar memberships obtained through gift or promotional codes, individual user accounts on multi-user accounts for individual businesses, and press passes are not refundable.

Cancellations within the first three (3) days are approved via the contact form. A copy of your confirmation email with the account number and amount paid must be copied and pasted into your request. LEEP Calendar uses a third party to handle all banking and financial details. We do not keep your financial information on our servers. Refunds are processed according to the bank's policies and can take up to thirty (30) days.

PRODUCT DOWNLOADS

LEEP Calendar is a SaaS (software as a service). Should we offer digital products (music, ebooks, podcasts, etc.), these products are delivered by internet download. After your purchase is approved, we will process your order. Orders are typically processed immediately but could take as long as twenty-four (24) hours if technical issues arise. Upon completion of your order, you will be directed to a download page. Each product allows only one (1) download per file, and it must be done within twenty-four (24) hours. Some products may have multiple files due to their size.

You will receive a receipt via the email you entered in the ordering process. This email will serve as your electronic purchase receipt and the instructions you need to access our product downloads.

Downloads from our servers are monitored to ensure you can access our products successfully. However, issues do occur. If you have any problems downloading your product, please use the contact form to notify us, and we will respond within 24 hours Monday-Friday, excepting US national holidays.

REFUND POLICY ON DIGITAL DOWNLOADS

We stand behind our products, and your satisfaction with them is important to us. Due to the digital nature of our products, once delivered, we generally do not offer refunds.

If you change your mind about your purchase and have yet to download our product, we will happily issue you a refund upon your request.

Refund requests made after you have downloaded our product are handled individually at our sole discretion. Refund requests must be made within thirty (30) days of your original purchase and include the original receipt, which is emailed. Copy and paste this into the contact form along with your request.

LEEP Calendar uses a third party to handle all banking and financial details. We do not keep your financial information on our servers. Refunds are processed according to the bank's policies and can take up to thirty (30) days.

Third-party Reservation and Purchase Links

Purchases made outside of LEEPCalendar.com and our affiliates are subject to the terms and conditions of the companies and organizations purchased where they are purchased. These include reservation and ticket links associated with individual events on LEEPCalendar.com and any products or services showcased in advertisements, comments, or not designated as a product/service of Jubilee LLC.

PAYMENT METHODS

You may edit your Payment Method information by visiting our website and clicking on the "Your Account" link, available at the top of the pages of the Jubilee LLC website. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not edit your Payment Method information or cancel your account (see, "Cancellation" below), you remain responsible for any uncollected amounts and authorize us to continue billing the Payment Method, as it may be updated. This may result in a change to your payment billing dates. If you signed up for Jubilee LLC using your account with a third party (i.e., iTunes, or similar account) as a Payment Method, and wish to cancel your Jubilee LLC membership at any time, including during your free trial, you will need to do so through such third party, including by visiting your account with the applicable third party and turning off auto-renew, or unsubscribing from, the Jubilee LLC service. You may also find your Jubilee LLC membership billing information by visiting your account with the applicable third party. For certain Payment Methods, the issuer of your Payment Method may charge you a foreign transaction fee or other charges. Check with your Payment Method service provider for details.

JUBILEE LLC, LEEP CALENDAR SERVICE

You must be 18 years of age, or the age of majority in your province, territory, or country, to become a member of LEEP Calendar. Individuals under the age of 18, or the applicable age of majority, may utilize the service only with the involvement of a parent or legal guardian, under such person's account and otherwise subject to these Terms of Use.

The Jubilee LLC service, and any content viewed through our service, are for your personal and non-commercial use only. During your Jubilee LLC membership, we grant you a limited, non-exclusive, non-transferable license to access the Jubilee LLC service, view the content, and use it for research, planning, and other activities. You may not republish, reprint or redistribute the content of the Jubilee LLC to other entities for profit without consent and proper attribution. All content is copyrighted and the property of Jubilee LLC. Except for the preceding limited license, no right, title, or interest shall be transferred to you.

We continually update the Jubilee LLC service, including the content library. In addition, we continually test various aspects of our service, including our website, user interfaces, service levels, plans, promotional features, delivery, and pricing. We reserve the right to, and by using our service, you agree that we may include you in or exclude you from these tests without notice. We reserve the right in our sole and absolute discretion to make changes from time to time and without notice in how we offer and operate our service.

You agree to use the Jubilee LLC service, including all features and functionalities associated therewith, in accordance with all applicable laws, rules, and regulations, including public performance limitations or other restrictions on the use of the service or content therein. Your full-year membership license permits you to download aspects of the calendar for your personal use to supported calendar software. You agree not to archive, download (other than through caching necessary for personal use), reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use (except as explicitly authorized in these Terms of Use) content and information contained on or obtained from or through the Jubilee LLC service without the express written permission from Jubilee LLC. You also agree not to: circumvent, remove, alter, deactivate, degrade or thwart any of the content protections in the Jubilee LLC service; use any robot, spider, scraper, or other automated means to access the Jubilee LLC service; decompile, reverse engineer or disassemble any software or other products or processes accessible through the Jubilee LLC service; insert any code or product or manipulate the content of the Jubilee LLC service in any way; or, use any data mining, data gathering or extraction method. In addition, you agree not to upload, post, email, or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware, or telecommunications equipment associated with the Jubilee LLC service, including any software viruses or any other computer code, files or programs.

The availability of events and content associated with events will change from time to time and from country to country. The quality of any streaming media display, including audio or video in the event descriptions, may vary from computer to computer and device to device. This may be affected by various factors, such as your location, the bandwidth available through and/or the speed of your internet connection. You are responsible for all internet access charges. Check with your internet provider for information on possible internet data usage charges. Jubilee LLC makes no representations or warranties about the quality of your watching experience on your display.

By using our service, you agree to look solely to the entity that manufactured and/or sold you the device for any issues related to the device and its compatibility with the Jubilee LLC service. If your Jubilee LLC ready device is sold, lost or stolen, please deactivate the Jubilee LLC ready device. If you fail to log out or deactivate your device, subsequent users may access the Jubilee LLC service through your account and may be able to access certain of your account information. To deactivate a device, follow instructions on the "Your Account" page of our website, accessible via the Login link on every page of LEEPCalendar.com.

We may terminate or restrict your use of our service without compensation or notice if you are, or if we suspect that you are (i) in violation of any of these Terms of Use or (ii) engaged in an illegal or improper use of the service.

PASSWORDS & ACCOUNT ACCESS

The member who created the Jubilee LLC account and whose Payment Method is charged is referred to herein as the Account Owner. The Account Owner has access and control over the Jubilee LLC account. The Account Owner's control is exercised by using the Account Owner's password; therefore, to maintain exclusive control, the Account Owner should not reveal the password to anyone. In addition, if the Account Owner wishes to prohibit others from contacting Jubilee LLC Customer Service and potentially altering the Account Owner's control, the Account Owner should not reveal the Payment Method details (e.g., last four digits of their credit or debit card, or their email address if they use PayPal) associated with their account. You are responsible for updating and maintaining the truth and accuracy of the information you provide to us relating to your account.

To provide you with ease of access to your account and to help administer the Jubilee LLC service, Jubilee LLC implements technology that enables us to recognize you as the Account Owner and provide you with direct access to your account without requiring you to retype any password or other user identification when you revisit the Jubilee LLC service, which includes accessing via Jubilee LLC ready devices or website.

Be mindful of any communication requesting that you submit credit card or other account information. Providing your information in response to these types of communications can result in identity theft. Always access your sensitive account information by going directly to the Jubilee LLC website and not through a hyperlink in an email or any other electronic communication, even if it looks official. Jubilee LLC reserves the right to place any account on hold anytime with or without notification to the member to protect itself and its partners from what it believes to be fraudulent activity. Jubilee LLC is not obligated to credit or discount a membership for holds placed on the account by either a representative of Jubilee LLC or by the automated processes of Jubilee LLC.

DISCLAIMERS OF WARRANTIES & LIMITATIONS ON LIABILITY

THE JUBILEE LLC SERVICE AND ALL CONTENT AND SOFTWARE ASSOCIATED THEREWITH, OR ANY OTHER FEATURES OR FUNCTIONALITIES ASSOCIATED WITH THE JUBILEE LLC SERVICE, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. JUBILEE LLC DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE JUBILEE LLC SERVICE WILL BE UNINTERRUPTED, OR ERROR-FREE. JUBILEE LLC SPECIFICALLY DISCLAIMS LIABILITY FOR THE USE OF APPLICATIONS, JUBILEE LLC READY DEVICES, AND JUBILEE LLC SOFTWARE (INCLUDING THEIR CONTINUING COMPATIBILITY WITH OUR SERVICE).

TO THE EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, IN NO EVENT SHALL JUBILEE LLC, OR ITS SUBSIDIARIES OR ANY OF THEIR SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE (JOINTLY OR SEVERALLY) TO YOU FOR PERSONAL INJURY OR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.

NOTHING IN THESE TERMS OF USE SHALL AFFECT ANY NON-WAIVABLE STATUTORY RIGHTS THAT APPLY TO YOU. If any provision or provisions of these Terms of Use shall be held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall remain in full force and effect.

GIFTS & PROMOTIONS

We may offer Gift Subscriptions for purchase on our websites. Your Payment Method will be charged for any purchased Gift Subscriptions. The purchase and redemption of Gift Subscriptions are subject to the Gift Subscription Terms (www.LEEPCalendar.com/GiftTerms). Promotional codes may be redeemed on our website. Promotional codes can only be used once and cannot be redeemed for cash, resold, or combined with any other offers, including a free trial. If you received a promotion code through an offer by a third party, additional restrictions may apply.

INTELLECTUAL PROPERTY

COPYRIGHT

Jubilee LLC, LEEPCalendar.com, our services, including all content provided on the Jubilee LLC service, is protected by the United States and international copyright, trade secret, or other intellectual property laws and treaties.

Uploaded Content from Champion Members and Comments from Members:

User (Event Champion) hereby warrants that all Upload Materials shall be owned or licensed by User and shall not adversely impact the Hosting Service or violate any rights of any third parties.

The User shall be responsible for ensuring that all Upload Materials function properly and as intended by the User. If Upload Materials are provided electronically, User shall be responsible for maintaining all computer hardware, software, telecommunications equipment, and service required to produce Upload Materials to the Hosting Services.

Jubilee LLC reserves the right to determine and remove or flag at our discretion derogatory, misleading, non-factual, racist, discriminatory, incendiary, profane, sexually inappropriate material or comments from submitted events, supporting documents, images, and videos.

All content uploaded to LEEPCalendar.com, including comments, submitted events, supporting documents, images, and videos relating to specific events, remain with LEEPCalendar.com, regardless of whether membership is continued.

Supporting documents, images and videos must include the originator's information and remain intact without editing if included for informational and educational purposes. Copyright remains with the creator. Jubilee LLC functions solely as an additional distribution outlet.

Use of Information Submitted.

Jubilee LLC is free to use any comments, information, ideas, concepts, reviews, techniques, or any other material contained in any communication you may send to us ("Feedback"), including responses to questionnaires or through postings to the Jubilee LLC service, including the Jubilee LLC website and user interfaces, without further compensation, acknowledgment or payment to you for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products and creating, modifying or improving the Jubilee LLC service. In addition, you agree not to enforce any "moral rights" in and to the Feedback, to the extent permitted by applicable law.

THIRD-PARTY PROPERTIES.

Except as otherwise set forth herein, nothing shall cause or imply any sale, license, or other transfer of proprietary rights of or in any third-party software or products from one party to this agreement to the other party.

GOVERNING LAW

Jubilee LLC members, these Terms of Use shall be governed by and construed in accordance with the laws of the state of Wyoming, USA, without regard to conflict of laws provisions.

You may also be entitled to certain consumer protection rights under the laws of your local jurisdiction.

Applications. You may encounter third-party applications (including, without limitation, websites, widgets, software, or other software utilities) ("Application(s)") that interact with the Jubilee LLC service. These Applications may import data related to your Jubilee LLC account and activity and otherwise gather data from you. These Applications are provided solely as a convenience to you, and Jubilee LLC is not responsible for such Applications. SUCH APPLICATIONS ARE OWNED OR OPERATED BY THIRD PARTIES THAT ARE NOT RELATED TO WITH OR SPONSORED BY JUBILEE LLC AND MAY NOT BE AUTHORIZED FOR USE WITH OUR SERVICE IN ALL COUNTRIES. USE OF AN APPLICATION IS AT YOUR OWN OPTION AND RISK.

ARBITRATION AGREEMENT

If you are a Jubilee LLC member in the United States (including its possessions and territories), you and Jubilee LLC agree that any dispute, claim, or controversy arising out of or relating in any way to the Jubilee LLC service, these Terms of Use and this Arbitration Agreement, shall be determined by binding arbitration or in small claims court. Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. You agree that, by agreeing to these Terms of Use, the US Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and Jubilee LLC are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of this agreement and the termination of your Jubilee LLC membership.

If you elect to seek arbitration or file a small claim court action, you must first send to Jubilee LLC, by certified mail, a written Notice of your claim ("Notice"). The Notice to Jubilee LLC must be addressed to: General Counsel, Jubilee LLC, 1712 Pioneer Avenue, Suite 2019, Cheyenne, WY 82001 ("Notice Address"). If Jubilee LLC initiates arbitration, it will send a written Notice to the email address used for your membership account. A Notice, whether sent by you or by Jubilee LLC, must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought ("Demand"). If Jubilee LLC and you do not reach an agreement to resolve the claim within 30 days after the notice is received, you or Jubilee LLC may commence an arbitration proceeding or file a claim in small claims court.

You may download or copy a form Notice and a form to initiate arbitration at www.adr.org. If you are required to pay a filing fee, after Jubilee LLC receives notice at the Notice Address that you have commenced arbitration, Jubilee LLC will promptly reimburse you for your payment of the filing fee, unless your claim is for greater than US$10,000, in which event you will be responsible for filing fees.

The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively, "AAA Rules") of the American Arbitration Association ("AAA"), as modified by this agreement, and will be administered by the AAA. The AAA Rules and Forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by writing to the Notice Address. The arbitrator is bound by the terms of this agreement. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of this arbitration agreement. Unless Jubilee LLC and you agree otherwise, any arbitration hearings will take place in the county (or parish) of your residence.

If your claim is for US$10,000 or less, we agree that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds US$10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. If the arbitrator issues you an award that is greater than the value of Jubilee LLC's last written settlement offer made before an arbitrator was selected (or if Jubilee LLC did not make a settlement offer before an arbitrator was selected), then Jubilee LLC will pay you the amount of the award or US$1,000, whichever is greater. Except as expressly set forth herein, the payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules.

YOU AND JUBILEE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Jubilee LLC agree otherwise, the arbitrator may not consolidate more than one person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this arbitration provision shall be null and void. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
